1. Scope
These terms govern the MainAI Compute website, API and portal. By creating an organisation or using a key you accept them for that organisation. If you accept on behalf of a company, you confirm you may bind it.
Individual order forms, DPAs and enterprise schedules override these terms where they conflict.
2. MVP status
The service is in an early commercial phase. Features can change and capacity is shared unless you hold a dedicated agreement. The published availability figure is a target, not a warranty, unless an order form says otherwise.
Keep a fallback path for non-critical workloads. Maintain your own copy of anything you cannot regenerate.
3. Accounts and eligibility
You must be at least 18 and able to enter a contract. Use a real work email and accurate organisation details. One person may belong to several organisations, with a separate role in each.
You are responsible for member actions, key custody and the security of your sessions. Tell us promptly at security@mainai.dk if a key or session leaks.
4. Business verification
Every account is Enterprise and requires a know-your-business check: legal name, registration number, country and ownership evidence where proportionate. KYC approval starts contract review; the recorded Enterprise contract unlocks the portal and inference.
We may decline or postpone a contract until checks complete. Providing false entity data is a material breach.
5. Credit, billing and tax
Prepaid credit is a usage balance, not electronic money. It is consumed by metered tokens at the rates shown at request time. EUR is the billing currency; DKK is a fixed display reference and is not charged. Balances do not expire while the organisation is active. Credit is not transferable between organisations.
Usage is metered server-side from token counts. Prices are per million tokens and exclude VAT. Danish VAT is 25%. Valid EU VAT IDs are reverse-charged. Invoices are due on the stated date; overdue amounts may suspend keys.
Stripe processes card data. Chargebacks and failed payments may negative-balance an invoiced account up to its credit limit.
6. Commitments and cancellation
The Enterprise contract starts on the recorded date and follows its order term. Prepaid credit or approved invoice terms sit underneath it. Cancel with effect from the next renewal by written notice.
Prepaid credit is refundable within 14 days of purchase if unused, less payment fees. After consumption begins, remaining credit can be refunded at our discretion. Statutory consumer withdrawal rights apply where relevant.
7. Acceptable use
Do not use the service to break the law or the rights of others. In particular:
- No unlawful content, malware distribution or fraudulent activity.
- No attempt to bypass limits, probe the private gateway or extract another tenant's data.
- No reselling of raw capacity without an agreement, except as embedded in your own product.
- No training a competing foundation model on outputs where the upstream licence restricts it.
- No high-risk automated decisions in health, finance or employment without human review appropriate to the use.
- No excessive streaming concurrency that starves shared capacity.
8. Intellectual property
MainAI owns the portal, brand, documentation and operator tooling. Open-weight model licences belong to their publishers and flow through to you; the model detail page names the family. Third-party dependency licences are honoured.
You keep ownership of inputs and outputs. You grant us a limited licence to process them to deliver the service. We do not train on your content by default.
9. Availability and support
We target 99.95% monthly availability on Enterprise contracts. Planned maintenance is announced on the status page. Excluded: your code, your network, force majeure and upstream model withdrawal.
Support runs on business days in CET. Enterprise agreements define response targets and a named contact.
10. Suspension and termination
We may suspend a key or organisation for non-payment, security risk, unlawful use or breach after notice proportional to urgency. Where possible, give 48 hours to cure a curable breach.
You may close an organisation at any time. On closure, access stops, unused prepaid credit is handled under the refund rule, and data follows the retention schedule. Invoice records survive closure.
11. Liability
Neither party is liable for indirect loss, lost profit, lost data or business interruption. Our aggregate liability in any 12 months is capped at the greater of fees paid in that period or €1,000. The cap does not apply to gross negligence, wilful misconduct or mandatory law.
You are responsible for validating outputs before relying on them. Models can be wrong, and a confident answer is still an answer.
12. Governing law and venue
Danish law governs these terms, excluding its conflict rules and the CISG. The courts of Copenhagen have exclusive jurisdiction, save where mandatory consumer law gives you a home forum.
Before litigating, raise the issue at hello@mainai.dk and allow 30 days for a good-faith attempt to resolve it.
13. Changes
We may update these terms for product, legal or security reasons. Material changes get 14 days' email notice. Continuing to use the service after the effective date accepts the new version. Order forms keep their agreed terms for their term.
